MEMBERSHIP AGREEMENT & TERMS OF SERVICE

Welcome to Tidy Abode. We do not sell cleaning hours; we provide a Managed Living Standard. By submitting an inquiry, purchasing a Membership, or allowing a Tidy Abode Curator into your residence, you (the "Member") agree to be bound by the following Terms and Conditions (the "Agreement").
1. THE SERVICE STANDARD
1.1. Curators, Not Cleaners. Our staff are referred to as "Curators." They are trained professionals executing a specific "Dossier" for your home. They follow a rigorous checklist tailored to your residence, ensuring quality is always prioritized. While we welcome feedback, Curators are not authorized to deviate from Tidy Abode safety protocols or perform tasks outside the scope of your Membership Tier without prior approval from Management.
1.2. The Tiers.
The Aerie (Up to 1.5 Bath)
The Meridian (Up to 2.5 Bath)
The Penthouse (Up to 4 Bath)
1.3. The Calibration Period. Every new Membership begins with a One-Time Calibration Fee ($450 - $950). This fee covers the creation of your Digital Dossier, the initial "Deep Reset" of the home, and the formulation of your cleaning rotation. Subject to applicable consumer protection laws, this fee is considered fully earned upon the creation of the Digital Dossier and is non-refundable once the initial service has been scheduled.
1.4. Privacy & Photography. Curators may take internal reference photos strictly for the Digital Dossier. These images are encrypted, confidential, and will never be used for marketing or social media without your express written consent. Please refer to our Privacy Policy for full details on how we secure your data.
1.5. Service Completion & Split Visits. We prioritize the safety of your assets and the quality of our work over strict time limits.
Multi-Day Calibration: The initial Calibration Clean is a detailed process. If we determine that additional time is required to meet our quality standards safely (e.g., for handling fragile items or detailed organization), we reserve the right to pause the service and schedule a completion visit on the following business day at no additional cost.
Right to Pause: We will not rush services if doing so compromises the safety of your home, your assets, or our staff.
1.6. Event Recovery & Out-of-Scope Conditions. Your recurring rate assumes the residence has been subjected to standard weekly use. If upon arrival, a Curator determines the residence requires significant additional labor due to events, guests, neglect, or heavy soil (exceeding the established Baseline), we will immediately issue an "Event Recovery" notice. The Member will be given the option to either: (A) Approve an Event Recovery surcharge (quoted at the time of notice) to complete the entire home, or (B) Forgo the surcharge and allow the Curator to condense the service, prioritizing primary living areas and omitting secondary rooms to fit within your allocated time block.
2. FINANCIAL STEWARDSHIP
2.1. Flat-Rate Subscription Billing. Tidy Abode operates on a flat-rate Stewardship model, not an hourly billing structure. Your assigned rate is calculated based on the precise execution of your digital Dossier and the assumption of "Baseline" soil conditions (established during your initial Calibration). Because we guarantee a standard of finish rather than a duration of time, the time required to service your residence may fluctuate weekly. Curators will depart the residence once the Dossier is executed to our standard, regardless of the time elapsed. There are no refunds for weeks where you decline service (see "Vacation Pause" below).
2.2. Price Adjustments. We reserve the right to adjust Membership dues annually to reflect inflation, wage increases, and operational costs. Members will be notified in writing at least 30 days prior to any rate change. Unless otherwise specified in a written "Founding Member" agreement or "Price Lock" guarantee issued directly to the Member, continued use of the service after the effective date constitutes acceptance of the new rate.
2.3. Late Payments & Interest. Declined payments must be rectified within 3 days. Service will be paused until the account is current. A $45 Administrative Fee applies to any payment that requires manual collection efforts. Balances unpaid after 30 days will accrue interest at a rate of 2% per month (24% per annum).
2.4. Incidental Charge Authorization. The Member authorizes Tidy Abode to charge the credit card on file for any incidental fees—including lock-out penalties, parking fees, late cancellation fees, or approved supply replenishments—immediately upon occurrence.
3. ACCESS & SECURITY PROTOCOLS
3.1. Digital Entry Preferred. To maintain our "Invisible Hospitality" standard, we require independent access to your unit. We prioritize:
Concierge Key Release (We are insured and registered vendors).
Digital Door Codes (Stored in our encrypted, 2FA-secured vault).
Lockboxes (If building policy permits).
Note: We strictly avoid holding physical keys whenever possible to reduce liability.
3.2. The "Lock-Out" Policy (Route Integrity). Our efficiency relies on "Route Density" (Curators moving seamlessly between units). If a Curator arrives and cannot access your unit (e.g., concierge has no key, code changed, deadbolt engaged from inside), you will be charged 100% of the scheduled visit value. We cannot "come back later" as the Curator has another slot immediately following yours.
3.3. Parking & Logistics. Members must provide or facilitate secure, complimentary parking for the Curator's vehicle during the service window. If paid visitor parking is the only option, the cost will be billed to the Member as an incidental charge.
3.4. Operational Environment (Utilities). To execute the Dossier safely and to our standard, the residence must have active electricity, running hot and cold water, and functional climate control (HVAC). If these utilities are unavailable upon arrival, the visit may be paused or canceled at the Curator's discretion, subject to standard cancellation policies.
4. SCHEDULE STEWARDSHIP
4.1. Cancellation Window. We require 48 hours' notice to cancel or reschedule a visit without penalty.
Less than 48 hours: 50% of the visit value is forfeited.
Same-Day Cancellation / Lock-Out: 100% of the visit value is forfeited.
4.2. The Vacation Pause. Members may "Pause" their membership for periods longer than 14 days. Requests must be made 14 days in advance to adjust billing. For shorter trips, we recommend keeping your slot to maintain the dust/hygiene baseline of the home.
4.3. Force Majeure (The "Calgary Winter" Clause). We prioritize the safety of our Curators. Tidy Abode reserves the right to cancel or reschedule visits without penalty in the event of severe weather (e.g., Environment Canada weather warnings), natural disasters, or hazardous road conditions. In such events, we will make reasonable efforts to reschedule the visit, but we are not liable for a breach of contract due to Acts of God.
4.4. Route Density and Arrival Blocks. To maintain the security and efficiency of our routes, Members are assigned a recurring "Arrival Block" (e.g., Morning: 8:30 AM – 12:30 PM, or Afternoon: 1:00 PM – 5:00 PM). Your Curator will arrive at the residence at any point within this assigned block. While we strive for consistency, specific arrival times cannot be guaranteed due to the unpredictable nature of luxury detailing, routing adjustments, and Calgary traffic/weather.
5. ASSET PROTECTION (LIABILITY)
5.1. Care & Control. We treat your home as a sanctuary. However, accidents can happen.
Notification: You must notify us of any damage or breakage within 24 hours of the service.
Cap on Liability: Tidy Abode’s liability for any single incident is limited to the lesser of: (a) the actual cost of repair/replacement, or (b) 3x the monthly membership fee.
Insurance: We maintain a comprehensive insurance portfolio, including $3,000,000 in Commercial General Liability, $25,000 in Employee Dishonesty Bonding (Theft), and $100,000 in Cyber Liability coverage.
5.2. Subjective Standards. While we strive for perfection, "cleanliness" and "stewardship" can be subjective. We do not offer refunds based on subjective dissatisfaction. If a task in the Dossier was missed, we will return to rectify that specific task at no cost, provided we are notified within 24 hours.
5.3. Exclusions. We are not liable for:
Damage due to pre-existing "wear and tear" (e.g., loose faucet handles, fragile blinds).
Artwork, heirlooms, or valuables not properly secured or noted in the "No-Touch Zone" of your Dossier.
Bio-hazards (pet waste, mold, blood). Curators will strictly avoid these areas for safety.
5.4. Client-Provided Equipment & Products. Tidy Abode provides all necessary premium tools and solutions. If a Member explicitly requests the use of their own equipment (e.g., specific vacuums) or chemical solutions within the Dossier, Tidy Abode assumes no liability for the mechanical failure of that equipment, nor for any surface damage caused by the Member's specified products.
6. MEMBER RESPONSIBILITIES
6.1. Safety & Conduct (Zero Tolerance). Tidy Abode has a Zero Tolerance Policy regarding harassment, illegal activity, and unsecured weapons. All firearms must be securely locked and stored prior to our arrival. Any verbal abuse, sexual advances, threatening behavior, or presence of unsecured weapons/illegal substances will result in the immediate termination of Membership and a permanent ban. No refunds will be issued.
6.2. Pets. We love pets, but they must be secured or safe. If a pet displays aggression, the Curator reserves the right to leave the premises immediately. The visit will be charged in full.
6.3. Digital Acceptance. Checking the acceptance box on the Membership Application or Digital Dossier, or payment of the initial invoice, constitutes a binding electronic signature and acceptance of this Agreement.
6.4. Health & Illness. If any occupant of the home is suffering from a highly contagious illness (e.g., COVID-19, severe flu), the Member must notify us to reschedule the visit. Curators reserve the right to depart immediately if they encounter an undisclosed contagious environment, and the visit will be charged in full.
6.5. Unaccompanied Minors. For liability and safety reasons, Curators cannot be left alone in a residence with unaccompanied children under the age of 18.
7. NON-SOLICITATION & TALENT RETENTION
7.1. Investment in Talent. We invest significant resources in vetting, training, background-checking, and insuring our Curators. They are our most valuable asset.
7.2. Liquidated Damages (Non-Solicitation). During the term of your Membership and for 24 months following its termination, you agree not to directly hire, employ, or contract any current or former Tidy Abode Curator.
Placement Fee: If you wish to hire a Curator directly, you agree to pay a $5,000 Recruitment Placement Fee to Tidy Abode.
Acknowledgement: You acknowledge that this fee is a reasonable estimate of the costs Tidy Abode would incur to recruit and train a replacement and is not a penalty.
8. TERMINATION & CANCELLATION RIGHTS
8.1. Standard Termination. You may cancel your Membership at any time with 30 days' written notice via email.
Example: If you cancel on Jan 15th, your final billing will cover services through Feb 15th, and services will continue until that date.
8.2. Statutory Cancellation Rights (Internet Sales Contract Regulation). In accordance with the Alberta Consumer Protection Act, you may cancel this Agreement within 30 days from the date the contract is entered into if:
We fail to provide a copy of this Agreement to you (via email or digital link) within 15 days; or
The services do not commence within 30 days of the agreed start date. If you cancel under this statutory provision, we will refund all amounts paid within 15 days.
9. GOVERNING LAW & SEVERABILITY
9.1. Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.
9.2. Severability. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
